Permira and Warburg Pincus-led investor group complete Clearwater acquisition

An investment group led by Permira and Warburg Pincus has completed the acquisition of Clearwater Analytics (CWAN) in a deal valued at approximately $8.4 billion.

As part of the agreement, Clearwater shareholders received $24.55 per share in cash. This price represents a premium of approximately 47% to the company’s undisturbed share price on November 10, 2025, the last trading day before the deal was announced.

Following the completion of the transaction, with support from Francisco Partners and participation from Temasek, the company’s Class A ordinary shares have been delisted from the New York Stock Exchange.

The transaction underwent a thorough review process overseen by a special committee composed of independent and disinterested members of Clearwater’s board of directors, which unanimously recommended approval of the transaction.

Innovation and disruption have been key drivers of growth for more than a decade.

“By going private, our ability to build the Gen AI agent platform while focusing on scaling our existing platform is significantly enhanced. Our customers rely on us to manage the platforms they use, and our investment will ensure they remain at the forefront of technology innovation in how they operate their businesses.”

The transaction enables Clearwater to accelerate investments in its artificial intelligence roadmap and next-generation platform.

Clearwater will operate as a private entity with increased flexibility by leveraging its comprehensive data foundation and the support of Permira and Warburg Pincus, a move that allows the company to enhance its representation capabilities for institutional investors who manage more than $10 trillion in global assets.
